asked the Prime Minister whether the British Trade Corporation requires to be registered at Somerset House in the same way as any other limited liability company, and, if any exception is made in this ease, what is the saving to the corporation which is entailed thereby; and can he say whether the corporation will be under the same obligation as other limited companies to return periodically a list of its shareholders and to publish an annual balance sheet?

Mr. ROBERTS

The Prime Minister has asked me to answer this question. The British Trade Corporation does not require to be registered at Somerset House, and it will thereby save the registration fees of £50. The Corporation will be under the same obligation as companies incorporated under the Companies Acts to return an annual list of members and balance sheet except that the return will have to be made to the Board of Trade instead of to the Registrar of Companies.

Will the names of the shareholders be published in the same way as the names of shareholders of an ordinary company?

Mr. ROBERTS

Yes, Sir.

asked whether under the proposed charter, in the event of the British Trade Corporation suspending payment, it can be compulsorily and immediately forced into liquidation; and, if not, what period must elapse before this is possible?

Mr. ROBERTS

The British Trade Corporation will be subject to the same proceedings for an Order for winding-up by the Court as a company incorporated under the Companies Acts which is unable to pay its debts.

Is it not the case that there is a special provision that no action can be taken for sixty days?

Mr. ROBERTS

I think the right hon. Baronet had better bring that out in the Debate.
