48. Mr. Grieve

asked the President of the Board of Trade what proposals he has for amending Section 209 of the Companies Act, 1947, with a view to protecting the interests of minority share holders who are called upon to accept offers for their shares under the Act, and to ensure that they receive no less favourable terms than shareholders who have freely accepted take-over.

Mrs. Gwyneth Dunwoody:

When the time comes to prepare further companies legislation, I will consider whether to provide that a dissenting shareholder may make any election which an approving shareholder could have made, even though the election is expressed as one which must be made in a period which has expired.
