asked the Chancellor of the Exchequer if he will list the statutory and regulatory provisions relating to the conduct of building society general meetings.

The statutory provisions relating to the conduct of building society general meetings are to be found in sections 4(2), 64 to 70 and 84 to 85 of the Building Societies Act 1962 and the ninth schedule to that Act. Section 4(2) of the Building Societies Act 1962 lays down that a building society's rules must provide for the calling and holding of meetings and in particular:

  1. (a) for the right of members to requisition meetings;
  2. (b) for the manner in which notice of any resolutions to be moved at meetings is to be given to members;
  3. (c) for the procedure to be observed at meetings;
  4. (d) for the form of notice for the convening of a meeting, and the manner of its service; and
  5. (e) for the voting rights of members, the right to demand a poll and the manner in which a poll is to be taken.

Sections 64 to 70 of the 1962 Act contain provisions as to annual general meetings; the length of notice for calling meetings; persons entitled to notice of meetings; proxies; the right to demand a poll; as to special resolutions and a requirement that notices of meetings are to include notices of members' special resolutions, where applicable. Sections 84 and 85 deal with the appointment of auditors and provisions as to resolutions relating to the appointment and removal of auditors.

The ninth schedule to the 1962 Act sets out standard rules for meetings of building societies and has effect as if it formed part of a society's rules except to the extent that the society has provided in its rules for one or more of the specified matters and has by its rules expressly excluded the relevant provisions of that schedule.

There are no regulatory provisons relating to the conduct of building society general meetings, other than those contained in the rules of each society.
