169 Clause 107, page 90, line 36, at end insert—
(2) Where the affairs of a body corporate are managed by its members, subsection (1) above shall apply in relation to the acts and defaults of a member in connection with his functions of management as if he were a director of the body corporate.
§ 170 Clause 108, page 91, line 17, leave out "of the body and" and insert "or, where the body's affairs are managed by its members, every member of the body and in any event,"

§ The LORD CHANCELLORMy Lords, I beg to move that this House doth agree with the Commons in their Amendments Nos. 169 to 171 en bloc. With the leave of the House, I will at the same time speak to Amendment No. 183. I regret that there is an error in Amendment No. 170 as printed. It reads:
Page 91, line 17, leave out 'of the body and' and insert …It should read:Page 91, line 14, leave out 'or member of the body and' and insert 'or, where the body's affairs are managed by its members, every member of the body and in any event,'.Perhaps it may be useful, after having given those incomprehensible observations, to read paragraph (b) as it will be when amended. It will read:in any other case, every director or, where the body's affairs are managed by its members, every member of the body and in any event, if it has a manager who is not a director or member, that manager, is so registered".
